MODIFICATION AND REBRANDING:
  • The Licensee may modify the Product to suit their branding and business needs.
  • The Licensee is responsible for rebranding the Product with their own logo, company name, and other identifying information.
DISTRIBUTION:
  • The Licensee may sell, give away, or distribute the modified Product to end-users.
INTELLECTUAL PROPERTY:
  • The Licensor retains all intellectual property rights to the original Product.
  • The Licensee shall not reverse engineer, decompile, or disassemble the Product.
WARRANTIES:
  • The Product is provided "as is," without any warranties, express or implied, regarding its merchantability, fitness for a particular purpose, or non-infringement.
LIMITATION OF LIABILITY:
  • In no event shall the Licensor be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the Product.
TERM AND TERMINATION:
  • This Agreement shall remain in effect after a purchase has in fact been made.
GOVERNING LAW:
  • This Agreement shall be governed by and construed in accordance with the laws of Delaware in the United States of America.
ENTIRE AGREEMENT:
  • This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written.
